• Working time: The customer agrees that the provider’s working time is limited to the agreed-upon working hours and days as outlined in the project agreement. Any work requested outside of these hours may incur additional charges.
  • Website maintenance: The customer agrees that website maintenance only includes text, image, and color changes as outlined in the original project scope. Any additional changes may incur additional charges.
  • Termination: The provider reserves the right to terminate the project if the customer fails to provide necessary content and design materials in a timely manner or makes unreasonable requests for additional work or changes.
  • No refunds: The customer acknowledges that there will be no refunds for any charges incurred as a result of their failure to provide content and design materials or for additional work beyond the scope of the original project agreement.
  • Change requests: The customer agrees that any changes requested after the project is completed may incur additional charges.
  • Delayed content delivery: The customer agrees that delays in providing content and design materials for their website can lead to project delays and may incur additional charges.
  • Extra page development: The customer agrees that any requests for additional page development or changes beyond what is outlined in the original project scope may result in additional charges.
  • Communication: The customer agrees to maintain regular communication with the provider and to respond promptly to any requests for information or feedback. Failure to do so may result in project delays or additional charges.
  • Intellectual property: The customer acknowledges that all intellectual property related to the website, including but not limited to code, images, and content, belong to the provider until payment is made in full. The customer will have a license to use the website and its content only after payment is made in full.
  • Third-party services: The customer acknowledges that any third-party services, such as hosting or domain registration, are subject to the terms and conditions of the respective providers. The provider is not responsible for any issues that arise from the use of third-party services.
  • Testing and acceptance: The customer agrees to test the website thoroughly and provide feedback and approval before the website is launched. Once the website is launched, any further changes will incur additional charges.
  • Support: The customer acknowledges that support may be limited to technical issues and that any changes or updates to the website beyond the original project scope may require additional charges.
  • Warranties: The provider makes no warranties, express or implied, regarding the website, its functionality, or its performance. The customer acknowledges that the website is provided “as is” and agrees to indemnify and hold the provider harmless for any damages that may result from the use of the website.
  • Liability: The provider will not be liable for any damages, including but not limited to lost profits, lost data, or other consequential damages, arising from the use of the website or the failure of the website to meet the customer’s expectations.
  • Confidentiality: The customer acknowledges that any confidential information provided to the provider will be kept confidential and will not be disclosed to third parties without the customer’s consent.
  • Legal compliance: The customer agrees to comply with all applicable laws and regulations related to the use of the website, including but not limited to copyright, trademark, and privacy laws.
  • Force majeure: The provider will not be liable for any delays or failures to perform its obligations under the agreement due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, or government actions.
  • Jurisdiction: The agreement will be governed by the laws of the jurisdiction in which the provider is located, and any disputes will be resolved in accordance with the laws of that jurisdiction.
  • Payment schedule: The customer agrees to pay the provider according to the payment schedule outlined in the project agreement. Failure to make payments on time may result in project delays or termination.
  • Payment methods: The customer agrees to pay using the payment methods specified by the provider. If the customer wishes to use a different payment method, the provider may require additional verification or processing fees.
  • Late fees: The customer acknowledges that late payments may incur late fees as specified in the project agreement. These fees may be assessed on a per-day or per-week basis.
  • Additional charges: The customer acknowledges that additional charges may be incurred for changes or updates beyond the scope of the original project agreement, as well as for any third-party services or materials used in the project.
  • Fixed price versus hourly rate: The customer acknowledges that the project may be priced on a fixed-price or hourly-rate basis, as specified in the project agreement. If the project is priced on an hourly-rate basis, the customer will be billed for all hours worked, including time spent on communication and project management.
  • Ongoing maintenance fees: The customer acknowledges that ongoing maintenance fees may be required for the continued operation and security of the website, as specified in the project agreement.
  • Dispute resolution: The customer agrees to attempt to resolve any payment disputes with the provider before taking legal action. If legal action is necessary, the customer acknowledges that any legal fees incurred will be the responsibility of the customer.
  • Taxes: The customer acknowledges that any taxes or fees imposed by local, state, or federal authorities will be the responsibility of the customer. The provider may add these taxes or fees to the customer’s invoice.
  • Project completion time and refunds: The customer acknowledges that the project will be completed within a specified timeframe as outlined in the project agreement. If the project is not completed within this timeframe due to reasons beyond the provider’s control, the customer may be entitled to a refund for any fees paid beyond the percentage of work completed. However, if the delay is caused by the customer’s failure to provide necessary content or feedback on time, the customer will not be entitled to a refund and may be required to pay additional fees. In addition, if the project is terminated by the customer before completion, no refunds will be given and the customer may be required to pay additional fees.
